Position: VP Deputy General Counsel Governance, Corporate Health Law and Regulatory Affairs
The Vice President & Deputy General Counsel position- Governance, Corporate Health Law and Regulatory Affairs (DGC-CHL) is one of two VP & DGC positions within the Allina Legal Department. The DGC-CHL and Vice President & Deputy General Counsel Litigation and Medical Legal Affairs (DGC-MLT) serve as key advisors to the Senior Vice President & General Counsel, other Allina Health Executives and Management teams, as well as Subsidiary and Operating Unit Boards of Directors. The DGC-CHL provides legal advice/counsel and oversight on a broad range of legal, transactional and regulatory topics within multiple operating business units and divisions as well as clinical service lines across the enterprise. The VP & DGC-CHL is responsible for legal advice and oversight of multiple programs or business lines and is accountable for directing the legal and project work of other attorneys, paralegals or consultants associated with these programs and assisting the SVP GC & Corporate Secretary to integrate all legal services across the legal team as well as oversee collaboration with the other internal legal teams. The DGC--CHL shall have subject matter expertise in broad areas related to System and Operating Unit programs.
The DGC-CHL is responsible for overseeing strategic enterprise risk identification, prevention and management in multiple legal risk domains, managing significant complexity both as a subject matter expert and as a business partner -- including managing legal content and implementation of system-wide initiatives, legal changes or legal projects. The VP & DGC also serves as a strategic partner to System Vice Presidents, System Management, and Operating Unit Executives on legal issues arising in their program areas. The DGC-CHL and DGC-MLT will have shared oversight responsibility for budget development and management as well as the day-to-day operations of the legal function within one of the two major divisions of the Department. The VP & DGC is responsible for proactively promulgating policies and otherwise advancing practices that reduce legal risk in his/her program areas and is likewise responsible for identifying other programs or functional areas that may be implicated as new legal strategies or practices are identified. The position will oversee senior and junior attorneys, paralegals and outside consultants responsible for developing legal tools and will provide direction to the teams to assist them in providing efficient and effective services. The VP & DGC position will have the authority to retain or delegate the retention and oversight of outside counsel pursuant to established procedures as appropriate for the most qualified and effective legal risk management deemed appropriate under the circumstances. If outside counsel is retained at the recommendation of the VP&DGC, he/she will have the responsibility for managing outside counsels work and associated expenses.
The Office of the Senior Vice President and General Counsel provides Allina Health-wide support and advice on all legal matters affecting the health system. The DGC-CHL will be responsible for the execution of day-to-day legal affairs of the organization in the areas of governance, corporate health law and regulatory affairs and will be required to make decisions which impact functions and enterprise risks system-wide. The DGC-CHL will be expected to provide a proactive approach to solving legal issues within a dynamic and growing integrated delivery system. This position is an Allina Health system-wide position that will support Allina Health operations throughout the State and Western Wisconsin. This position requires the ability to work collegially in a fast-paced, high-volume, complex and dynamic environment.
Serve as one of three chief legal advisors for Allina Health (together with DGC-MLT and SVP & GC), providing accurate, timely, and well-reasoned advice and guidance on all legal/regulatory and liability issues related to the functioning of Allina Health, including those areas involving governance, health care services, corporate transactions, regulatory matters and scientific research.
Oversee internal and outside legal experts in all aspects of health care law to provide advice and counsel regarding state and federal laws, rules and regulations applicable to health care and scientific research, privacy rights, and oversight and compliance, including but not limited to HIPAA, Medicare, Medicaid, Stark Law, Anti-Kickback law, False Claims Act and the Affordable Care Act.
Oversee and play a lead strategic role in the design and management of complex transactional and regulatory matters involving Allina Health, its operating units, boards, leaders, and employees.
Work closely with executive leadership team, colleagues and the SVP & GC in the development and implementation of key elements of the Enterprise Risk Management program in support of the Allina Boards oversight role.
Develop, in collaboration with the Senior Vice President & General Counsel and health system leadership, major initiatives involving Allina Health, including hospital, clinic, and/or other mergers, acquisitions and strategic affiliations.
Maintain awareness of key developments in areas of law affecting Allina Health, by keeping current on legal literature, case law and statutes, networking with other attorneys, and participating in relevant conferences and seminars; and lead the development and communication of a Legal & Risk Services Department position on the organizations recommended strategic response and/or implementation plans in response to such changes.
Utilize strong legal and business acumen required of an individual at the most senior level of an organization to work effectively to integrate and coordinate the key strategic initiatives and business unit operations of the organization.
In collaboration with the SVP & GC, present to, advise and interact with the CEO and other senior leaders of the health system to facilitate an understanding of the salient legal and regulatory risk issues facing Allina Health.
Offer strategic legal counsel to Allina Health leaders, supporting the business transactions, joint ventures and contracts negotiated in support of an effective organizational transformation from volume to value as part of payment reform.
Demonstrated experience as typically acquired during at least 12-15 years as a practicing attorney of business and health care law, including primary and independent responsibility for significant business transactions, governance support, and health law legal analysis
Solid experience (typically obtained during 12-15 years) of advising health care clients, including hospitals, medical foundations and/or physician organizations
Expertise in general corporate work, drafting and negotiating contracts, and structuring mergers and acquisitions
Exposure and general understanding of basic employment law issues
Excellent judgment and proven experience analyzing risks and making risk determinations
Substantive expertise in state and federal regulations as they pertain to hospitals, medical foundations and other health care organizations
In-house counsel experience is highly desirable
Demonstrated leadership competencies and ability to operate in a complex and matrixed corporate environment, including as a collaborative leader with counterparts in the compliance, regulatory affairs, and research areas.
Extensive knowledge of health care laws including Stark, Anti-kickback, False Claims Act and familiarity with licensure, certification and accreditation requirements is essential Extensive knowledge of nonprofit corporate governance laws
Good working knowledge of tax-exemption/nonprofit and antitrust laws is also required
Extensive knowledge of corporate transaction and contracting processes, including reviewing, drafting, revising, negotiating, and finalizing contracts and structural deal terms
Strong business acumen with healthcare experience.
